Sam holds his
B.S. Degree in Accounting and Finance, which he earned at San Jose State
University in 1966. Prior to that he earned his A.A. Degree in Accounting
in 1963 from Hartnell J.C. Salinas, California. Additionally, Sam has
been a member of the American Institute of Certified Public Accountants
and the California Society of Certified Public Accountants since 1969.
As the founder of the firm, he has remained the Sole Proprietor since
1988. In addition to his expertise in Accounting, Sam also brings a

Member of the Board of Directors of the
Franklin Select Real Estate Income Fund and Franklin Advantage Real
Estate Income Fund. These Funds were sponsored by Franklin Resources,
Inc., which is in the financial services industry and now manages
more than 250 billion dollars under the Franklin-Templeton group
of funds (NYSE/BEN). Franklin Resources' main office is located
in San Mateo, CA. The REITS invested in office buildings, industrials
and shopping centers. The REITS were sold in 1999 for 131.5 million
dollars. Franklin Select and Franklin Advantage were publicly held
companies listed on the New York Stock Exchange. Director and Chairman

Management, and other NAREIT conferences. Founded in 1960, NAREIT
is a nonprofit trade association, headquartered in Washington, D.C.,
representing over 200 public real estate investment trusts and 2,000
legal, financial, accounting and real estate firms.

of Trustees of California Real Estate Investment Trust, 1981-1988(NYSE/PSE).
Cal-REIT is a Real Estate Investment Trust and was involved in the
ownership, financing, and operation of Real Property in California,
Washington, and Texas since 1968. Investments included shopping
centers, office buildings, industrial buildings, apartments, and
restaurants. Cal-REIT sold for 33 million dollars on December 12,
1988. Cal-REIT was a publicly held company and listed on the New
York Stock Exchange.

President and CEO of Adams Capital Management
Co., San Francisco, CA 1970-1987. Adams was involved in the ownership,
development, financing, operation, and management of real property
in California, Texas, Oregon, Washington, and Florida since 1955.
Investments included shipping centers, office buildings, industrial
buildings, apartments, developable land, tree farming and ranch
land. Adams was the investment advisor to Cal-REIT (NYSE/PSE) 1981-1987.
Adams Properties and Martin Development Co., both subsidiaries of
Adams, developed Gold Springs, a real estate subdivision located
in Columbia, CA.

Certified Public Accountants, 1967-1970. Performed several financial
audits for real estate companies, mutual funds, manufacturing companies
and school districts. Attended various PricewaterhouseCoopers tax
and audit training schools. Prepared, on a regular basis, individual,
partnership and corporate tax returns when not performing audits.
